Attendee Agreement

The following describes the terms and conditions applicable to your participation on which Brown Smith Wallace Consulting Group, and its service providers offers you access to attend our Distribution Virtual Tech Fair®.

Welcome
The following describes the terms and conditions applicable to your participation in the Distribution Virtual Tech Fair and use of event services. Brown Smith Wallace Consulting Group is not Responsible for Content, Information or Communication.

We are a venue that permits attendees the ability to meet and communicate online for the purpose of selling, marketing, networking, educating and conducting other related activities. The information, content and communication made available through this Distribution Virtual Tech Fair is created by Virtual Tech Fair’s sponsor, exhibitors, speakers, subscribers (like you) and other participants (all of whom are referred to below as “attendees”). We do not create, edit, control, review, approve, or otherwise monitor in any manner any of the content, communication and information that is created and published by the attendees at this Distribution Virtual Tech Fair.

WARNING: You may find the content and information available at this Distribution Virtual Tech Fair to be offensive, harmful, inaccurate, or deceptive. You should consult all available and reliable sources to verify any content and information contained in the Distribution Virtual Tech Fair before making any decisions or taking any action based on such content and information. By attending the Distribution Virtual Tech Fair, you agree to accept such risks, and the Brown Smith Wallace Consulting Group and its licensors and service providers are not responsible for the acts or omissions of the attendees at the Distribution Virtual Tech Fair. If you choose not to agree to these terms we will refund any monies paid to us. You must request this refund prior to ever logging into the Distribution Virtual Tech Fair.

BROWN SMITH WALLACE CONSULTING GROUP AND ITS LICENSORS AND OTHER SERVICE PROVIDERS SPECIFICALLY DISCLAIM, WITH RESPECT TO ANY INFORMATION, OFFERINGS, ADVERTISING, CONTENT OR COMMUNICATION OF ANY KIND, ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED, OR STATUTORY, AND MAKE NO REPRESENTATION WARRANTY OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, SUITABILITY, TRUTHFULNESS, ACCURACY, OR COMPLETENESS OF ANY CONTENT. COMMUNICATION OR INFORMATION ACCESSIBLE AT THE DISTRIBUTION VIRTUAL TECH FAIR.

Attendee Conduct
You are entirely responsible for all suggestions, ideas, comments, questions and other content that you upload, post, email, transmit or otherwise make available via the Distribution Virtual Tech Fair. You agree not to use the Distribution Virtual Tech Fair to upload, post, email, transmit or otherwise make available any content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise objectionable or injurious to third parties or that consists of or contains software viruses, political campaigning, chain letters, mass mailings or any form of “spam.” You agree not to use a false e-mail address, impersonate any person or entity or otherwise mislead as to the origin any content. Additionally, you agree not to disrupt the normal flow of dialogue in the Distribution Virtual Tech Fair, interfere with the servers or networks connected to the Distribution Virtual Tech Fair, violate any applicable local, state, national or international law, “stalk” or otherwise harass other attendees of the Distribution Virtual Tech Fair or collect or store personal data about other attendees of the Distribution Virtual Tech Fair. Although we do not have any obligation to monitor or review posted content, information or communication, we nevertheless reserve the right to monitor or review such content and, for any reason in our sole discretion, remove without notice any content of the Distribution Virtual Tech Fair that we deem inappropriate for any reason.

You agree not to post or distribute any information or material that is copyrighted by any third party without the express written consent of such party. Attendee is strictly prohibited from and agrees not to copy, download, or transmit in any manner any content aired or contained in the “ Education Center” of the Distribution Virtual Tech Fair. You agree to indemnify and hold harmless the Brown Smith Wallace Consulting Group and its Service Provider from any claim arising out of or relating to your violation of the foregoing provisions. "

No Warranty of Performance
BROWN SMITH WALLACE CONSULTING GROUP, ITS LICENSORS AND OTHER SERVICE PROVIDERS PROVIDE THE DISTRIBUTION VIRTUAL TECH FAIR AND RELATED SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. BROWN SMITH WALLACE CONSULTING GROUP, ITS LICENSORS AND OTHER SERVICE PROVIDERS, SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

Liability Limit
IN NO EVENT SHALL BROWN SMITH WALLACE CONSULTING GROUP, ITS LICENSORS AND OTHER SERVICE PROVIDERS BE LIABLE FOR DIRECT, INDIRECT, LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT ARISING FROM ANY CAUSE INCLUDING NEGLIGENCE.

BROWN SMITH WALLACE CONSULTING GROUP, ITS LICENSORS AND OTHER SERVICE PROVIDERS’S LIABILITY, IF ANY, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $50.

Indemnity
You agree to indemnify and hold Brown Smith Wallace Consulting Group, its licensors and Service Providers and their respective members, managers, officers, directors, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your improper use of the Distribution Virtual Tech Fair or your violation of any law or the rights of a third party.

Release
Because we are a venue, in the event that you have a dispute with one or more attendees, you release the Brown Smith Wallace Consulting Group, its Licensors, Service Providers and their respective managers, members, officers, directors, agents, and employees from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

PRIZE CENTER AND IN-BOOTH [IF APPLICABLE]
GIVEAWAY RULES & REGULATIONS

Eligibility
Employees of Brown Smith Wallace Consulting Group, its exhibitors, InXpo LLC and their immediate families (spouse, parents, children and siblings) are not eligible for the drawings. Contest is open to persons 21 years of age or older.

Prize Center Drawings and Notification
Brown Smith Wallace Consulting Group will have prize drawings throughout the Distribution Virtual Tech Fair on April 30 and May 1, 2008 from 8:00 am to 6:00 pm CST. The winners will be determined by a random drawing. Odds of winning depend on the number of eligible entries received. Winners will be notified by email. Winners will be contacted by a representative of Brown Smith Wallace Consulting Group or a Prize Sponsor to discuss the shipping and handling. The value of the pre-configured prize items will include shipping and handling. The prizes will be delivered to the individual at his or her home address, or if to a business, to an owner, officer, or authorized contact at the company address only. The Prize Sponsor reserves the right to substitute cash value for prizes.

In-Booth Drawings and Notification
Some Exhibitors will be offering chances to win prizes from their individual booths. Winners will be drawn and contacted by a representative of the exhibiting company during and/or after the close of the Distribution Virtual Tech Fair. The Exhibitor is held solely responsible for selecting the winner, contacting the winner, delivering and facilitating the shipping of the prize. The value of the pre-configured prize items will include shipping and handling. The prizes will be delivered to the individual at his or her home address, or if to a business, to an owner, officer, or authorized contact at the company address only. The Prize Sponsor reserves the right to substitute cash value for prizes.

General Conditions
All national, state and local laws/regulations are applicable. All taxes (including income taxes) are the sole responsibility of winners. Non-compliance may result in disqualification and an alternate winner may be selected. Return of prize will result in disqualification and an alternate winner may be selected. Eligibility to win a prize is limited to one Virtual Tech Fair prize per household, Corporate Account and/or any Branch locations affiliated with that Corporate Account, and one booth prize per booth per household, Corporate Account and/or any Branch locations affiliated with that Corporate Account. Any person attempting to defraud or in any way tamper with this drawing in any way will be ineligible for prizes and will be prosecuted to the full extent of the law. Void where prohibited by law.

How To Earn Points
The more points you earn at the Distribution Virtual Tech Fair, the more chances you have of winning valuable prizes. The following activities will earn you points during the Distribution Virtual Tech Fair on April 30 and May 1, 2008.

Judging
By entering this drawing, participants agree to waive any right to claim any ambiguity or error in these official rules, or the drawing itself, and agree to be bound by these official rules and by all decisions of the Brown Smith Wallace Consulting Group, whose decisions are final. Winners may be required to complete an Affidavit of Eligibility and Liability Release.

Disclaimers
Participants agree that Brown Smith Wallace Consulting Group, its Licensors and other Service Providers and their respective managers, members, officers, directors, agents, suppliers and employees shall not be liable for losses or injuries of any kind resulting from acceptance or use of prizes, participation in drawing, or any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, or any combination thereof, or any misdirected entries, or delayed data transmissions. Participants also agree that the individuals and entities listed in this paragraph are not responsible or liable for any injury or damage to a participant related to or resulting from downloading any part of this drawing, or not operating on participants’ computer. Brown Smith Wallace Consulting Group reserves the right to modify the rules of the drawing in any way, or at any time, and to cancel the drawing for any reason. IT IS PARTICIPANT’S RESPONSIBILITY TO READ AND UNDERSTAND ALL INFORMATION WHICH ACCOMPANIES PRODUCT PRIZES CONCERNING USE, RISKS AND MAINTENANCE. Brown Smith Wallace Consulting Group reserves the right to cancel, suspend and/or modify the contest and award the prizes from among eligible entries received prior to such action if any fraud, technical failures or any other factor beyond the Brown Smith Wallace Consulting Group reasonable control impairs the integrity or proper functioning of the contest, as determined by Brown Smith Wallace Consulting Group in its sole discretion.

Except where prohibited, participation in the contest constitutes winner’s consent to Brown Smith Wallace Consulting Group to use winner’s name, likeness, opinions, biographical information, hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

Entrant agrees that any dispute arising out of this contest shall be resolved individually without class action and exclusively by the state and federal courts in Lake County, Illinois under the laws of Illinois without regard to that state’s conflict of law principles.

Generally, Brown Smith Wallace Consulting Group will not collect or store information about contest participants except for the information set forth on the entry form. Information transmitted to Brown Smith Wallace Consulting Group electronically or otherwise will generally be treated as non-confidential and non-proprietary and may be used by the receiving party for publicity as set forth above.
